Guaranty Bank, an Austin-based savings institution with $13.5 billion in assets, is expected to be seized by the FDIC by the end of theweek.

So glad I took profit and got out today.

(Nasdaq and MTA: CTIC) (the "Company") today announced that it has entered into anagreement to sell $30 million of shares of its Series 2 Preferred Stock and warrants to purchase shares of its common stock in a registered offering to asingle institutional investor. Each share of Series 2 Preferred Stock is convertible at the option of the holder, at any time during its existence, intoapproximately 628 shares of common stock at a conversion price of $1.59125 per share of common stock for a total of approximately 18,853,103 common shares.

In connection with the offering, the investor received warrants to purchase up to 4,713,276 shares of common stock. The warrants have an exercise price of$1.70 per warrant share, for total potential additional proceeds to the Company of approximately $8.0 million upon exercise of the warrants. The warrants areexercisable immediately upon issuance and terminate nine months after the date of issuance.

The Company intends to use the net proceeds from the offering for working capital and general corporate purposes, which may include, among other things, payinginterest on and/or retiring portions of its outstanding debt, funding research and development, preclinical and clinical trials, the preparation and filing ofnew drug applications, and general working capital.

Shares of the Series 2 Preferred Stock will receive dividends in the same amount as any dividends declared and paid on shares of common stock and have novoting rights on general corporate matters.

The closing of the offering is expected to occur on August 24, 2009, at which time the Company will receive the cash proceeds and deliver the securities.

I see this short term in the $3 range, and a little longer $5 to even $10. call me crazy, but if they get the drugs through and running, it's a big deal.
